ManTech, a portfolio company of Carlyle (NASDAQ: CG), divested its DARPA, OSD, and Select NRO Technical Advisory Services Programs (the “Business”) to Systems Planning & Analysis (“SPA”), a portfolio company of Arlington Capital Partners (“ACP”).

The DARPA, OSD, and select NRO Technical Advisory Services programs have supported national security customers for more than three decades delivering highly specialized research and development driven solutions to address mission needs. ManTech’s divestiture aligns with the company’s strategy to accelerate innovation and mission performance in high-end cyber, AI, engineering, and emerging technology domains across their Defense, Intelligence, and Federal Civilian Sectors.

SPA’s acquisition of the Business illustrates the following buyer priorities in Defense & Government M&A: (1) pure-play strategies in highly-specialized systems engineering and technical advisory services supporting marquee customers; and (2) continued private equity buy & build investments in the Defense & Government sector.
