Monroe Capital Corporation (NASDAQ: MRCC) (“Monroe Capital” or the “Company”) recently completed an initial public offering of 5,000,000 common shares at a price of $15.00 per share, generating gross proceeds of $75.0 million. The Company intends to use a portion of the net proceeds from the offering to pay the outstanding balance on the term loan portion of the credit facility it incurred in order to acquire its initial portfolio. Monroe Capital intends to use the remainder of the net proceeds from the offering to invest in portfolio companies in accordance with its investment objectives and for general corporate purposes.

Monroe Capital is a newly-organized, externally-managed, non-diversified closed-end management investment company that has filed an election to be treated as a business development company under the Investment Company Act of 1940 and intends to elect to be treated as a regulated investment company (RIC) for federal income tax purposes. The Company’s investment objective is to maximize the total return to its stockholders in the form of current income and capital appreciation through investments in senior, unitranche and junior secured debt and, to a lesser extent, unsecured debt and equity investments. The Company’s investment activities are managed by its investment adviser, Monroe Capital BDC Advisors, LLC, which is an investment adviser registered under the Investment Advisers Act of 1940 and an affiliate of Monroe Capital LLC.
