Inside the Deal: BELLA+CANVAS

How the Acquisition Paired Premium Apparel Ownership with Distribution

Baird served as exclusive financial advisor to BELLA+CANVAS on its sale to SanMar. The transaction brings a premium blank apparel brand into SanMar’s portfolio, with additional investment and operational resources intended to support BELLA+CANVAS while preserving its identity and creative direction. The strategic fit illustrates two considerations for owners of apparel brands: what a buyer can contribute to the business and why ownership creates value for that buyer.

How Product Quality Creates Differentiation for Apparel Brands

BELLA+CANVAS creates premium blank apparel for brands, decorators, printers and creators, with an emphasis on fit, feel and finish. A printed design may carry the customer’s message, but the garment itself also shapes the experience for the person wearing it.

Research from the Promotional Products Association International (PPAI) reinforces that distinction. In its 2026 consumer study, 73% identified high-quality materials as a signal of premium merchandise, more than twice the share citing a strong brand name. For apparel business owners, this highlights the importance of demonstrating differentiation through the overall product experience versus relying on brand name alone.

BELLA+CANVAS’ expanded 2026 partnership with Breakaway Music Festival illustrates this approach. The brand supplies premium blanks for the festival’s merchandise program, including customization and interactive fan experiences designed to give the apparel relevance beyond the event.

Connecting Brand Appeal with Distribution Capability

SanMar’s business combines distribution of third-party brands with a proprietary brand portfolio supported by long-term manufacturing partners. Acquiring BELLA+CANVAS represents more than adding another brand to its distribution offering: It brings ownership of a premium apparel business into that model.

The strategic opportunity extends to the economics of the product. As an owner, SanMar can potentially retain value that would otherwise accrue to a separate brand supplier. Its sourcing and production relationships may also create opportunities to manufacture selected products more efficiently. Capturing those benefits, however, depends on execution without compromising the quality that supports the brand’s appeal.

For BELLA+CANVAS, the founders identified inventory depth, service and operational capabilities as strengths SanMar could bring to the business. The completion announcement establishes SanMar as the exclusive national wholesale distributor, alongside continued purchasing directly from BELLA+CANVAS and through its local and regional distributor partners.

For owners evaluating strategic buyers, the key question is not only whether a partner offers scale. Owners also need to consider how ownership, distribution and production capabilities can work together to support the business and create value.

The Importance of Defining Priorities Before Selecting a Buyer

BELLA+CANVAS’ founders identified finding a privately held, family-owned buyer as a priority for the transaction. While that ownership model may not suit every business, it underscores the importance of defining objectives before evaluating potential partners.

BELLA+CANVAS continues as an independent brand under EVP Megan Spire’s leadership, with additional resources intended to support innovation, product development and customer experience. The company also plans to introduce more than 20 new styles in 2027.

For other owners of apparel brands, the starting point is practical: Identify what customers value, determine what the business needs next and understand where a potential buyer sees opportunities to create value. A compelling strategic fit should connect those opportunities with the owners’ goals – while also protecting what makes the business distinctive.
