Summary

Axon Enterprise, Inc. (“Axon”) (NASDAQ: AXON) recently priced a public offering of $1.0 billion aggregate principal amount of 0% Convertible Senior Notes due 2031 (the “Notes” or the “Offering”). Axon has also granted the underwriters of the Notes an overallotment option to purchase up to an additional $150.0 million aggregate principal amount of Notes. Axon intends to use a portion of the net proceeds of the Offering of the Notes to pay the cost of the capped call transactions. Axon expects to use the remaining net proceeds for general corporate purposes, which may include, among other things, providing capital to support Axon's growth.
