AEVEX Completes $216.0 Million Follow-On Offering
Summary
AEVEX Corp. (“AEVEX” or the “Company”) (NYSE: AVEX), a portfolio company of Madison Dearborn Partners, recently announced the pricing of its public offering of 8,000,000 shares of its Class A common stock at a public offering price of $27.00 per share, generating gross proceeds of approximately $216.0 million (the “Offering”). The Offering consisted of 5,726,157 shares of Class A common stock sold by AEVEX and 2,273,843 shares of Class A common stock sold by certain selling stockholders. The Company and the selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 858,923 shares and 341,077 shares, respectively, of AEVEX’s Class A common stock.
AEVEX intends to use the net proceeds to purchase Series B Units, together with an equivalent number of shares of Class B common stock, from certain direct and indirect members of ATS Investment Holdings, including entities controlled by its Principal Stockholder. AEVEX will not receive any proceeds from the sale of its Class A common stock by the selling stockholders.
