Summary

Mirion Technologies, Inc. (“Mirion”) (NYSE: MIR) recently completed the pricing of an upsized underwritten public offering of 19,906,322 shares of Mirion’s Class A common stock, including 2,596,476 shares sold pursuant to the full exercise of the underwriters’ option to purchase additional shares, at a price of $21.35 per share (the “Offering”). The Offering generated approximately $425.0 million in gross proceeds to Mirion.

Mirion expects to use the net proceeds from the Offering, together with the net proceeds from Mirion’s upsized concurrent offering of $325.0 million aggregate principal amount of its Convertible Senior Notes due 2031 (the “Notes”) to (i) pay the cost of the capped call transactions entered into with certain of the initial purchasers in the Notes offering and (ii) fund its planned acquisition of all of the outstanding membership interests of WCI-Gigawatt Intermediate Holdco, LLC, as the indirect parent of Paragon Energy Solutions, LLC, with the remainder for general corporate purposes.
