Summary

Atmus Filtration Technologies Inc. (“Atmus” or the “Company”) (NYSE: ATMU), the Filtration business unit of Cummins Inc. (“Cummins”) (NYSE: CMI), recently completed an initial public offering (IPO) of its common stock (the “Offering”) owned by Cummins. The aggregate size of the Offering was 16,243,070 shares of common stock, including 2,118,661 shares of common stock sold pursuant to full exercise of the underwriters’ option to purchase additional shares from Cummins, at a price to the public of $19.50. Atmus did not receive any proceeds from the Offering.
