Independent School District No. 286 (Brooklyn Center)

Flexible financing approach helps navigate a volatile municipal market

Background

Independent School District No. 286 (Brooklyn Center) is located in Hennepin County, Minnesota, approximately 13 miles north of St. Paul, and serves more than 2,000 students in grades K-12. As part of its long-term facilities maintenance plan, the District identified roofing and other deferred capital maintenance projects requiring additional investment.

To finance these improvements, the District came to market with $3.4 million of General Obligation Facilities Maintenance Bonds, Series 2026B. The bank-qualified bonds received an AAA enhanced rating through the Minnesota School District Credit Enhancement Program.

Implementation & Solution

Baird was selected through an RFP process to serve as sole managing underwriter on the negotiated financing. Ahead of pricing, the initial scale produced a true interest cost slightly above the 5.00% not-to-exceed level approved by the School Board in its September Parameters Resolution. Baird worked with the District and its municipal advisor to adjust coupons and yields in select maturities, bringing the scale within the District’s approved parameters before the order period began. The resulting scale carried a 4.96% true interest cost.

The bonds came to market as tax-exempt yields moved higher and the broader municipal market softened. Despite those conditions, the bank-qualified financing generated order books ranging from 2.6x to 7.6x oversubscribed. Demand allowed yields to be lowered across the entire structure at repricing, with reductions ranging from three basis points in several front and intermediate maturities to eight basis points in 2040.

Results & Impact

Following the reprice, the District’s true interest cost declined from 4.96% during the order period to 4.90% at final pricing, reducing the District’s borrowing cost and finishing below the 5.00% maximum established in the Parameters Resolution. Final yields ranged from 4.02% in 2028 to 5.02% in 2040. The final financing provided approximately $3.36 million for the District’s project construction fund.

The Parameters Resolution provided flexibility to adjust the financing as market conditions changed, while the negotiated sale process allowed Baird, the district’s municipal advisor and the District to respond to investor demand during pricing.
