Summary

Motion Recruitment Partners, LLC (“Motion” or the "Company”), a portfolio company of Littlejohn & Co. (“Littlejohn”), has agreed to be acquired by Kelly Services, Inc. (“Kelly”) (Nasdaq: KELYA, KELYB). Under the terms of the agreement, Kelly will acquire Motion for $425 million in cash to be paid at close, with additional earnout potential of up to $60 million based on certain performance criteria. The transaction is subject to regulatory approvals and customary closing conditions and is expected to close in the second quarter of 2024.
