About

ZGS Bildungs-GmbH (“Schülerhilfe”), a privately held company owned by funds advised by Paragon Partners and Syntegra Capital as well as Schülerhilfe management, recently completed its sale to funds advised by Deutsche Beteiligungs AG (“DBAG”). Terms of the transaction were not disclosed.

Schülerhilfe is one of the leading providers of qualified supplementary educational and tutoring services in Germany and Austria. It has a client base of 80,000, most of whom are students ranging from 6 to 18 years of age; half of these students are aged 13 to 16. Private tuition is delivered at some 1,050 learning centres. Schülerhilfe itself operates one-third of the centres; the remaining centres are operated by independent franchisees. Schülerhilfe is Germany’s third-largest franchise system. Schülerhilfe is headquartered in Gelsenkirchen, Germany.

Deutsche Beteiligungs AG (“DBAG”) is a listed private equity company. DBAG focuses on mid-sized enterprises in Germany and neighbouring European countries. DBAG invests from its own balance sheet and also manages and advises co-investment funds. DBAG is headquartered in Frankfurt, Germany.

Paragon Partners is an independent private equity company investing in mid-sized companies with a proven and sustainable business model. Its investments are primarily in the German speaking region but its perspective is international. Paragon Partners is headquartered in Munich, Germany.

Syntegra Capital is an independent private equity company focusing on Continental Europe. Syntegra Capital invests in unquoted, mid-sized companies in Benelux, France, Germany and Italy. The primary focus is on acquiring majority stakes in leading businesses but Syntegra may also invest in special situations or take minority stakes. Syntegra Capital is based in Frankfurt, London, Milan and Paris.
